These Terms of Use govern your access to and use of asimplemailer.com and all related products and services provided by A Simple Mailer (“ASM”). By using the Site or Services, you confirm that you have read and agree to these Terms. If you do not agree, do not use the Services. Some Services may have additional terms. If those terms conflict with these Terms, the additional terms will apply for that specific Service. ASM may update these Terms at any time. Changes take effect when posted, and continued use of the Services means you accept the updated Terms.

Website Intellectual Property; Restrictions on Use

The Services and their entire contents, features and functionality (including but not limited to all articles, artwork,
screen shots, graphics, logos, digital downloads, information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof) (collectively, “Content”) are owned by ASM or its affiliates and licensors and is protected by U.S., Canadian, and international intellectual property laws. All trademarks and copyrights belong to their respective owners.

You may use the Site and its content only for personal, non-commercial purposes. You may not copy, reproduce, modify, upload, post, distribute, or use the Content without our prior written permission. You also may not use the Content on other websites, in publications, for commercial purposes, or in any way that could cause confusion, harm, or misuse of ASM’s intellectual property.

You acknowledge and accept that you have no property or other rights in any Content on the Services. Any use of the Services not expressly permitted by these Terms is strictly prohibited and may breach these Terms, may violate international intellectual property laws, may give rise to civil and/or criminal prosecution and penalties, and will terminate the limited use rights granted herein.

Copyright & Trademark Disclaimer

All copyrighted and trademarked images, logos, and products shown in our demonstration videos are the property of their respective
owners. ASM does not claim any ownership, endorsement, or affiliation with the brands, grading companies, or trademark holders depicted. The use of such materials is solely for demonstration, informational, and educational purposes to illustrate how our card mailers function with various types of graded collectible cards and related products.

Any purchase from ASM includes only our card mailer and does not include any graded cards, cases, or other branded items shown in videos or images. All third-party trademarks, service marks, and logos remain the property of their respective owners.

Custom Branding Disclaimer

By submitting any logo, trademark, design, image, or other branding material (“Customer Content”) to ASM for use on custom mailers, the customer represents and warrants that they own or have full legal rights, licenses, or permissions to use and reproduce such materials for this purpose.

 The customer further agrees that ASM shall not be held responsible or liable for any claims, damages, or disputes arising from the unauthorized use of copyrighted, trademarked, or otherwise protected materials provided by the customer. By placing an order for customized products, the customer agrees to indemnify, defend, and hold harmless ASM, its owners, employees, and affiliates from and against any and all losses, liabilities, claims, or expenses (including reasonable attorneys’ fees) arising out of or related to the use of Customer Content provided for customization.

All purchases made through our Site or Services are governed by these Terms of Sale, which form part of the overall Terms of Use. By placing an order, you confirm that you are of legal age to enter into a contract, are a legal resident of the U.S. or Canada, and agree to be bound by these Terms of Sale.

Order Eligibility

Our Site and Services are for customers in the United States and Canada only. We accept orders and ship only to valid U.S. and Canadian billing and shipping addresses. Accessing or purchasing from outside this territory is at your own risk, and you are responsible for complying with all applicable laws. By placing an order, you confirm the products will be used lawfully.

Product Availability, Display, and Specifications

Product details, pricing, and availability are shown on the Site and may change at any time without notice. Although we try to provide accurate and current information, errors or discrepancies may occur. Products may differ from descriptions, images, or prices listed, and colors may vary by display. Packaging and product dimensions are approximate.

Order Process; Errors

Before submitting an order, you may review all details including delivery address and payment method. We will notify you when your order is accepted and then arrange shipment. Shipping and handling charges cover our processing and delivery costs. Orders cannot be changed or canceled once
placed; unwanted items must be returned after delivery. Title and risk of loss transfer to you upon delivery. Shipping dates are estimates only.

We may refuse or cancel any order before delivery for reasons including errors, inaccurate pricing, or product unavailability. We may also require additional information before accepting an order. If delays occur, we will make reasonable efforts to notify you.

 Price

Listed prices exclude taxes and shipping. Applicable taxes and shipping charges will be shown at checkout. Prices may change at any
time without notice.

Payment

Payment must be made before we accept an order. By submitting payment information, you confirm you are the authorized user and the information is accurate. You agree to pay all charges, including taxes and shipping, even if errors appear on the Site.

Orders may be canceled if payment cannot be processed. We may retry payment if the first attempt fails. You are responsible for ensuring sufficient funds are available. If legal action is required to collect unpaid balances, you agree to reimburse related costs. Refunds are issued to the original payment method.

Returns

Our returns policy is in addition to any statutory rights you may have under law. We will accept any items returned in
accordance with our return policy described below (“Return Policy”). In order to be eligible for a refund, your item must be new and in the original
condition that you received it. We may deny any return if it fails to meet this criteria.

We take pride in the quality and craftsmanship of every ASM case. If your order arrives damaged or defective, please contact us within fourteen
(14) days of delivery and we’ll make it right.

 Items must be unused, in original condition, and packaged securely—preferably in original packaging. Used items or items showing wear cannot be returned for health and quality reasons.

Buyers pay return shipping unless the item arrived damaged or incorrect. Once we receive and verify your return, we will issue a refund to your original payment method (excluding initial shipping fees). We will email you once your refund is processed. General Warranty and Disclaimer

ALL PRODUCTS AND SERVICES OFFERED ON THIS SITE OR THROUGH OUR SERVICES ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY OR CONDITIONS WHATSOEVER, EITHER EXPRESS OR IMPLIED. ASM DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY (A) WARRANTY OF MERCHANTABILITY; (B) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; OR (C) WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY; WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE. Product Use Disclaimer

ASM cases are designed to add extra protection when storing or shipping collectible cards, but no case can prevent all possible damage. We do not guarantee that cards, cases, or labels will remain undamaged under any conditions.

By using this product, you agree that ASM is not responsible for any damage, loss, or changes to items placed inside the mailer during shipping, handling, or storage. Proper packaging and safe shipping practices are the buyer’s responsibility. ASM cases are meant to supplement — not replace — careful packing, insurance, or secure transit methods.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO ASM'S NEGLIGENCE, WILL ASM OR ANY OF ITS AFFILIATES OR THEIR RESPECTIVE AGENTS, DIRECTORS, EMPLOYEES, INFORMATION PROVIDERS, LICENSORS, LICENSEES, OFFICERS AND/OR AFFILIATES BE LIABLE TO YOU UNDER ANY THEORY OF LIABILITY - WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR OTHERWISE - FOR ANY CONSEQUENTIAL, DIRECT, INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY, OR SPECIAL DAMAGES OR LOST PROFITS, EVEN IF ASM OR AN AUTHORIZED REPRESENTATIVE THEREOF HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

To the fullest extent permitted by applicable law, you will indemnify, defend, and hold harmless ASM and its subsidiaries and affiliates and each of our respective agents, directors, employees, partners, information providers, licensors, licensees, officers and/or affiliates (individually and collectively, "Indemnified Parties") from and against any and all claims, liabilities, demands, damages, judgments, awards, losses, costs, expenses or fees (including reasonable legal fees) (collectively, the “Claims”) arising out of or relating to your violation of these Terms (including the Terms of Sale), your breach of any of your representations, warranties, and covenants in these Terms, your access to the Site or use of the products other than as expressly authorized in these Terms, your use of any information obtained from the Services, or your conduct in connection with the Services. You will promptly notify the Indemnified Parties of any third-party Claims, cooperate with Indemnified Parties in defending such Claims and pay all fees, costs and expenses associated with defending such Claims. ASM reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you will not in any event settle any matter without the written consent of ASM. This indemnity is in addition to, and not in lieu of, any other indemnities set forth in a written agreement between you and ASM or the other Indemnified Parties.

Release

You release and forever discharge the Indemnified Parties from responsibility, liability, any and all claims, demands, damages or causes of action of any kind, whether arising in law or equity or upon contract or tort or under any state or federal law or otherwise, which you have had, now have or have made claim to have against any such person for or by reason of any act, omission, matter, cause or thing whatsoever arising from the beginning of time, whether such claims, demands and causes of action are matured or unmatured or known or unknown. This release shall be effective as a bar to each and every claim, demand and cause of action specified. If you are a consumer who resides in California, you hereby waive your rights under California Civil Code § 1542, which provides: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.” The parties acknowledge that each may hereafter discover facts different from or in addition to those now known or believed to be true with respect to such claims, demands, or causes of action and agree that this release shall be and remain effective in all respects notwithstanding any such differences or additional facts.

A Simple Mailer (“ASM”) is designed as a reusable protective case to simplify and enhance your shipping and storage experience. While engineered for impact resistance and secure magnetic closure, it does not guarantee prevention of damage to the enclosed contents under all conditions.

ASM does not provide insurance, valuation coverage, or reimbursement for the graded cards or collectibles shipped or stored within. The responsibility for the declared value, insurance, and safe transit of any card remains with the sender and carrier.
